Terms and conditions

General application

These Terms and Conditions of Use (the "Terms") apply to any and all domains of "coinbooks.io," including, but not limited to "app.coinbooks.io," "www.coinbooks.io," and "coinbooks.io," (the "Websites") which are owned and operated by Cloud 9 Pixels, Inc., a Minnesota corporation (collectively, "Coinbooks"). These Terms create a legal agreement between each user of the Websites ("you" or the "User(s)") and Coinbooks. These terms may change from time to time, and include any notices that are posted to the Websites. Each time you use the Websites, you consent to be bound by these Terms. If you do not wish to be bound by these Terms, you should not use the Websites.

Subscription to the App

The standard features of Coinbooks (the "App") are free. A fee and/or monthly subscription pre-paid by credit card may be required for custom contract development. We intend to keep the standard features of Coinbooks free forever. However, this is subject to change.

Access to the App

Use of the App requires cookies, javascript, and a modern browser with HTML5 support. Coinbooks reserves the right to block and/or terminate User's use of the Websites at any time and for any reason, including, but not limited to breach of these Terms or abusive or illegal use of the Websites. Unless Coinbooks has blocked or terminated a User's use of the Websites, Users may access and review their data at any time.

Intended Use

Coinbooks helps you track your Ether value transfers. It tracks the public Ethereum blockchain transactions via Etherscan.io and it tracks tokens via Ethplorer.io. We ask that you only watch addresses that you need to track.

Disclaimers

The Websites are provided "as-is," "as-available," and "with all faults." Coinbooks makes no express or implied warranties of any kind, including, but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. Coinbooks may change the Websites in any manner and at any time.

User information

Your use of the Websites will provide Coinbooks with access to your IP address. In addition, in order to use the App, you will be required to provide Coinbooks with an email address. Coinbooks will verify the email address you have provided.

Indemnification

Coinbooks is not responsible for damages of any kind on any theory of liability arising out of or in connection with use of the Websites, including, but not limited to damages incurred as a result of data loss or theft. The User will indemnify, defend, and hold Coinbooks harmless from all liability, loss, claim and / or expense arising from any violation of this Agreement or misuse of the Websites. Coinbooks reserves the right to assume exclusive defense and control of any matter subject to indemnification by the User. The User must cooperate with Coinbooks in asserting any available defenses.

Customer support

All data entered into Coinbooks may be retained indefinitely for the primary purpose of providing customer support to Users. Coinbooks provides such customer support only to registered Users of the App with confirmed email addresses. Coinbooks strives to respond to customer services requests within 24 hours, but makes no guarantee of such response.

Privacy and security

Coinbooks collects IP addresses and email addresses. We cannot guarantee what our data will or will not be used for in the future, so we recommend using an anonymous email address and a VPN to hide your identity.

Coinbooks employs a high level of security. Data is encrypted and we use SSL on network connections. While we take measures to prevent unauthorized access to accounts (such as account locking after a certain number of attempts), you are responsible for maintaining a secure password and changing it often.

Communication

Coinbooks and Users will communicate with one another only through the messaging service available through the App and/or by email. Coinbooks may also post notices on the Websites from time to time. As such, Users are responsible for monitoring the Websites and App, in addition to the email account provided to Coinbooks, as applicable, to ensure that Users are apprised of all relevant information regarding their relationship with Coinbooks. All communications provided through the Websites, including the App, and/or by email will satisfy any legal requirements that such communications be in writing.

Intellectual property

The Websites are the sole intellectual property of Coinbooks. Coinbooks grants each User a limited, non-exclusive license to access and make personal use of the App as a personal bookkeeping ledger. Users may not use the Websites or App in any other manner, including any resale, reposting, or commercial use, without Coinbooks' express written consent. Each User is responsible for the content of data input into the App. Each User provides Coinbooks with an unlimited, irrevocable, perpetual, worldwide, royalty-free license to maintain the User data in accordance with these Terms.

Governing law

These Terms and all use of the Websites are governed by the laws of the State of Minnesota without regard to the conflicts of laws principles thereof. Users submit to the exclusive personal jurisdiction of the District Court of Hennepin County and the United States District Court for District of Minnesota and agree that these courts are the proper venues of any disputes that may arise under these Terms or through use of the Websites.

Miscellaneous

Any cause of action by User with respect to the Websites must be instituted within one year after the cause of action arose or be forever waived and barred.

Coinbooks may automatically assign these Terms and all incorporated agreements. You may not resell, assign, or transfer any of your rights or obligations under this Agreement without Coinbooks's prior written consent.

If a court finds any portion of this Agreement invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

Failure to enforce a breach of these Terms will not be considered a waiver of any subsequent breach.
